Fujairah Free Zone Company Registration Process

Clients can follow FFZ’s simple registration process:

1. The client submits the completed application form and required documents. If everything submitted is in order, preliminary approval is given. The Transit Visa for the client is arranged for visiting the facilities and finalising the contract.
2. The client registers as an FZE, FZC or Branch.
3. The license is issued in one working day following agreement of the Terms of the Contract and on settlement of the financial commitments of the first year. The Articles of Association and Share Certificates for the FZE or FZC are issued.
4. The client moves into the facilities and starts business. FFZ arranges for telephone lines, furniture, etc and arranges for a bank account and registration with the Chamber of Commerce.
5. FFZ arranges for the Residence Visas, health cards etc.

Licenses

FFZ’s investors are able to attain a 100% ownership business license under the below categories:

Trading and General Trading License

• For the import, export and re-export of specific commodities
• The client can do business freely inside the free zone and outside the UAE
• Special government permits available for simple, hassle-free operations

Warehousing License

• Issued when warehouses are leased
• The investor can use the warehouse for distribution, packaging and storage

Manufacturing License

• Issued when the business project is approved and implemented
• The investor must arrange for full insurance of machinery and workers
• The investor must specify the facility building and open space requirements, the environmental issues involved and the electricity, water and manpower needed

Company Formation

Types of companies and ownership:

• Free Zone Establishment (FZE) – an entity with one owner
• Free Zone Company (FZC) – an entity owned by 2 to 5 partners
• Branches – two branch types: a branch of a company incorporated in the UAE and a branch of a company registered outside the UAE

For the registration of a FZE or a FZC the minimum capital requirement is AED 150,000.

The documents required for opening an FFZ branch:

• Memorandum of Articles attested by the UAE Embassy of the parent Company
• Board Resolution of the Parent Company
• Valid operating license of the parent company /companies
• Passport copies of directors, shareholders, manager
• Two photographs each of directors, shareholders, manager

Licenses are issued within 2 working days following settlement of licensing fees, rentals, registrations for the first year and following agreement of contract’s terms and conditions.

Opening a Bank Account

The following need to be submitted:

• Introductory letter from FFZ Authority
• Copy of the Chamber of Commerce registration
• Copy of the FFZ license
• Copy of company incorporation
• Copy of Power of Attorney of authorised signatory

Visas

Documents required for new Residence Visas:

• Copy of Trade License
• Company letter
• Employment contract
• Original passport and three passport copies
• Ten personal photos
• Original Visa and three copies

Documents required for Residence Visa renewals:

• Security deposit (refundable): AED 5,000

With an office:

• Minimum annual office rental: AED 20,000
• Free zone license, minimum cost: AED 2,500

  Custom Built Units
• Annual fee for a standard size built up unit: AED 220 per sq mt
• Free zone license, minimum cost: AED 5,000
• Chamber of Commerce: AED 3,020
• One-off charge for free zone utilities: AED 2,800
• One-off Incorporation fee for FZE and FZC companies: AED 5,300
• Residence visa (per person): AED 3,200 (deposit of AED 1,000 for each visa)

Warehouses

• Minimum rental for warehouse with inside office, minimum 15KVA power: AED 220 per sq mt (minimum 300 sq mt)
• Free zone license, minimum cost: AED 5,000
• Chamber of Commerce: AED 3,020
• One-off charge for free zone utilities: AED 2,800
• One-off Incorporation fee for FZE and FZC companies: AED 5,300
• Residence visa (per person): AED 3,200 (deposit of AED 1,000 for each visa)
• Security deposit (refundable): AED 15,000

Plots of Land

• Minimum cost: AED 15 per sq mt
• Free zone license, minimum cost: AED 5,000
• Chamber of Commerce: AED 3,020
• One-off charge for free zone utilities: AED 2,800
• One-off Incorporation fee for FZE and FZC companies: AED 5,300
• Residence visa (per person): AED 1,500 (deposit of AED 1,000 for each visa)
• Security deposit (refundable): AED 15,000

Trading Office Facilities

• Ideal for import, export and re-export business activities
• Minimum size: 35 sq mt
• Fully furnished with administration services

Note: Clients leasing Trading Offices or pre-built units can move into the facilities immediately as soon as the license is issued. However clients who have signed a contract for constructing customized facilities can use FFZ’s facilities for the period required for the construction of their customized units.
