Introduction – Free Zone Focus

Energy & Environment Park (EnPark) is a member of TECOM Investments Science Cluster and is housed at Dubai Biotechnology & Research Park (DuBiotech). EnPark is a free zone dedicated to energy and environment companies such as energy efficiency, renewable energy, waste management and green building companies.

EnPark is a founding member of the Green Economic Partnership which aims to enhance and support the position of Dubai in the global green economy value chain. The Green Economy for Sustainable Development was established by HH Sheikh Mohammed bin Rashid Al Maktoum, Vice President and Prime Minister of the United Arab Emirates and Dubai Ruler, as part of Dubai’s green economy strategy.

The free zone is regulated by Dubai Technology & Media Free Zone Authority (DTMFZA).

Dubai Energy and Environment Park Company Registration Process

Dubai Technology and Media Free Zone Authority (DTMFZ) approves the setting up and registration of EnPark’s companies.

Six steps to incorporate a FZ-LLC where the corporate person or the entity is the shareholder:

Note: to incorporate a FZ-LLC where (1) the natural person/individual and corporate person/entity are shareholders or (2) an FZ-LLC where the natural person/individual is a shareholder or (3) to incorporate a Branch please visit the EnPark website for more information.

Company Registration

The registration and establishment of companies in EnPark is approved and regulated by Dubai Technology & Media Free Zone Authority.

Types of Companies

Free Zone LLC (FZ-LLC)

• A legal entity with shareholders as individuals and / or companies
• At least one director
• AED 50,000 minimum capital requirement

Branch

• A branch of an foreign or local company – it is not a separate legal entity from its parent company
• A branch has the same business activities as the parent company
• There are no minimum capital requirements

Dubai Technology and Media Free Zone Authority’s Registration and Licensing Department issues commercial licenses and permits for the FZ-LLC and Branches.

Commercial Licenses:

• The business activities of the company must be in compliance with the licensing regulations issued by DTMFZA
• DTMFZA must approve the company’s business activity
• The client must lease a facility of DTMFZA (link to products below)
• The license covers the operation of a business within the free zone
• Licenses are valid for a period of one year and are renewable annually (penalty or termination for late license renewals)

Amendments to Licenses

The following changes to licenses can be requested by EnPark’s clients:

• Change of company name
• Change of company address
• Change of director
• Change of manager
• Additional business activity within the segment
• Change of business activity within the segment

Transfer of Shares

A FZ-LLC company set up at EnPark can amend its share structure as follows:

• Transfer of shares to new or existing shareholders
• Increase of share capital via new shares to existing or new shareholders
• Decrease of share capital

Other Changes to Licenses

• Merge or amalgamation of two or more companies inside the free zone
• Change from Branch of an overseas company to a FZ-LLC
• De-registration and cancellation of licenses

Regulation

EnPark is regulated by the Dubai, Technology & Media Free Zone Authority (DTMFZA) whose regulations are in line with global regulating standards, enabling the companies within the free zone to operate correctly.

Issuing of Visas

TECOM’s Government Services Operations (GSO) department is responsible for the issuing of visas. GSO also offers various other services, for example immigrations services, traffic and postal services with its one-stop shop.

Fit-Out Process

EnPark provides a “Fit-out Process” via TECOM’s Engineering Management Department which provides a one-stop shop service, handling the processes and approvals involved in setting up a facility.
