Introduction – Free Zone Focus

The Dubai Biotechnology and Research Park (DuBiotech) was launched in 2005 by His Highness Sheikh Mohammed bin Rashid Al Maktoum, UAE Vice President, Prime Minister and Ruler of Dubai and is the first free zone in the world dedicated to the Life Sciences industry. DuBiotech is a member of the TECOM Investments Science cluster.

With its specific facilities and infrastructure, this free zone provides the perfect platform for Life Sciences companies to house their operations and take advantage of the rapidly growing emerging markets in the area. DuBiotech also offers services such as registration and licensing, government services, leasing services, partner development and regulatory affairs services to support the growth of its companies.

Dubai Technology and Media Free Zone Authority DTMFZ approves the registration and setup of DuBiotech’s companies.

Note: to set up a FZ-LLC where (1) the natural person/individual and corporate person/entity are shareholders or (2) an FZ-LLC where the natural person/individual is a shareholder or (3) to set up a Branch, please visit the DuBiotech website for more information.

Setting up Companies

The registration and establishment of companies in DuBiotech is approved and regulated by Dubai Technology & Media Free Zone Authority.

Types of Companies

Free Zone LLC (FZ-LLC)

• A separate legal entity with shareholders as individuals and / or companies
• At least one director
• AED 50,000 minimum capital requirement

Note: the following business activities require a minimum capital of AED 300,000:

• Manufacturing and production – therapeutics sector
• Manufacturing and production – food sector
• Manufacturing and production – agricultural, forestry, horticulture sector
• Manufacturing and production – environmental sector
• Manufacturing and production – medical/scientific devices or equipment sector
• Manufacturing and production – speciality supplies sector

Branch

• A branch of a foreign or local company – not a separate legal entity from its parent company
• Same business activities as the parent company
• No minimum capital requirements

Issuing Commercial Licenses

Dubai Technology and Media Free Zone Authority’s (DTMFZA) Registration and Licensing Department approves the licensing for the FZ-LLC’s and Branches of DuBiotech.

• The business activities of the company must be in compliance with the licensing regulations which are issued by DTMFZA
• DTMFZA approves the company’s business activity
• The client must lease a DTMFZA facility
• The license covers the operation of businesses within the free zone
• Licenses are valid for one year and are renewable annually (there is a penalty or even termination for late license renewals)

Amendments to Licenses

The following changes to licenses can be requested by DuBiotech’s clients:

• Additional business activity within the segment
• Change of business activity within the segment
• Change of company name
• Change of company address
• Change of director
• Change of manager

Transfer of Shares

A FZ-LLC company incorporated at DuBiotech can amend its share structure as follows:

• Increase of share capital via new shares to existing or new shareholders
• Decrease of share capital
• Transfer of shares to new or existing shareholders

Other Changes to Licenses

• Change from Branch of an overseas company to a FZ-LLC
• Merge or amalgamation of two or more companies
• De-registration and cancellation of license

Regulation

DuBiotech is regulated by the Dubai, Technology & Media Free Zone Authority whose regulations are in line with global regulating standards, enabling the companies within the free zone to operate effectively.

Issuing Visas

The Government Services Operations (GSO) Department of TECOM is responsible for the issuing of visas as well as providing other services such as immigrations services, traffic and postal services through its one-stop shop.

Fit-Out Process

DuBiotech provides a centralized “Fit-out Process” via TECOM’s Engineering Management Department which provides a one-stop shop service, handling all the processes involved in setting up a facility.

Business Development

DuBiotech’s Business Development team works closely with clients so that they can operate effectively. Business Development also coordinates various business development events and activities for its clients. These activities support the interaction and collaboration of clients and stimulate potential business opportunities.

Advertising and Venue Management Services (AVMS)
